1. Acceptance of Terms

By accessing or using Adsloty ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all users of the Platform, including newsletter writers ("Writers") and advertisers ("Sponsors").

2. Description of Service

Adsloty is a marketplace platform that connects newsletter writers with sponsors who wish to advertise in newsletters. Our services include:

• Matching sponsors with relevant newsletters based on audience and niche
• Facilitating booking and scheduling of ad placements
• Processing payments between sponsors and writers
• Providing analytics and performance tracking
• Offering AI-powered ad analysis and recommendations

3. User Accounts

3.1 Registration

To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Writer Terms

As a Writer on Adsloty, you agree to:

• Provide accurate information about your newsletter, including subscriber counts and demographics
• Publish sponsored content on the agreed-upon dates
• Clearly disclose sponsored content to your subscribers as required by applicable laws
• Not artificially inflate metrics or engagement
• Maintain the quality and frequency of your newsletter
• Complete Stripe Connect onboarding to receive payouts

5. Sponsor Terms

As a Sponsor on Adsloty, you agree to:

• Provide truthful and non-misleading advertising content
• Not submit content that is illegal, harmful, or violates third-party rights
• Pay for bookings in full before the scheduled publication date
• Respect the editorial independence of Writers
• Comply with all applicable advertising laws and regulations

6. Payments and Fees

6.1 Platform Fees

Adsloty charges a platform fee on each transaction. The current fee structure is displayed during the booking process. We reserve the right to modify our fees with reasonable notice.

6.2 Payment Processing

All payments are processed through Stripe. By using our payment services, you also agree to Stripe's terms of service.

6.3 Refunds

Refunds may be issued at our discretion if a Writer fails to publish the sponsored content as agreed, or in other circumstances we deem appropriate. Sponsors may request refunds within 7 days of the scheduled publication date if the ad was not published.

7. Prohibited Content

The following types of content are prohibited on Adsloty:

• Illegal products or services
• Adult or sexually explicit content
• Hate speech or discriminatory content
• Misleading or deceptive advertising
• Malware, phishing, or other malicious content
• Content that infringes intellectual property rights
• Gambling or betting services (where prohibited)
• Unregulated financial products or cryptocurrency scams

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by Adsloty and are protected by international copyright, trademark, and other intellectual property laws. Users retain ownership of content they submit but grant Adsloty a license to use, display, and distribute such content in connection with operating the Platform.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING THE PLATFORM.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSLOTY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify and hold harmless Adsloty and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Platform or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will immediately cease.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Adsloty operates, without regard to its conflict of law provisions.

15. Dispute Resolution

15.1 Between Users

In the event of a dispute between a Writer and a Sponsor (e.g., regarding ad content quality, publication timing, or refund eligibility), both parties agree to first attempt resolution through Adsloty's internal dispute process. You may submit a dispute within 14 days of the scheduled publication date by contacting support@adsloty.com.

15.2 Between You and Adsloty

Any dispute arising from these Terms or your use of the Platform shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be resolved through binding arbitration rather than in court, except for claims that may be brought in small claims court.

15.3 Refund Decisions

Adsloty reserves final decision-making authority on refund disputes. If a Writer fails to publish sponsored content as agreed, a full refund will be issued to the Sponsor. Partial refunds may be issued at our discretion if content deviates significantly from what was approved.

16. Beta Program Terms

Adsloty is currently in beta. By using the Platform during the beta period, you acknowledge and agree to the following additional terms:

• Beta features may be modified, paused, or removed without prior notice
• Promotional fee waivers (e.g., 0% platform fees for early adopters) are temporary and may be reverted to standard rates with 30 days' notice
• We may use anonymized, aggregated feedback and usage data from beta users to improve the Platform
• The Platform may experience downtime, bugs, or incomplete features during the beta period
• We are not liable for any lost revenue or missed opportunities resulting from beta limitations

Beta users who provide feedback and report issues help shape the future of Adsloty. We value your participation and will notify you before the beta period ends and standard terms take effect.

17. AI-Powered Services

Adsloty uses artificial intelligence to provide certain features, including:

• Fit Scoring: AI analyzes ad request content against newsletter niche and audience data to generate compatibility scores
• Tone Analysis: AI evaluates ad copy for tone, clarity, and audience appropriateness
• Performance Estimates: AI provides estimated engagement metrics based on historical patterns

AI-generated scores and recommendations are advisory only. Writers retain full decision-making authority over which ads to approve or reject. Adsloty does not guarantee the accuracy of AI-generated scores or estimates.

By using the Platform, you consent to the processing of ad content and newsletter metadata by our AI systems. No subscriber personally identifiable information is shared with AI services. See our Privacy Policy for details on data handling.
